CSA IMAGES - TERMS OF USE & END USER LICENSE AGREEMENT (EULA)

This document governs all access to and use of the CSA Images website and all licensing of its content. Please read these terms carefully. If you do not agree to them, you are not authorized to access, browse, index, copy, or otherwise use this site or its content in any way.

1. Acceptance and Scope

These Terms bind every visitor to this site, not only those who purchase licenses. By accessing, browsing, viewing, searching, downloading from, or licensing illustrations, photographs, and other images (collectively, “CSA Collections”) from CSA Images, you agree to this legally binding agreement. “CSA” or “CSA Images” refers to CSA Images, Inc., a Minnesota corporation, and its affiliates.

If you access this site on behalf of an employer, client, or other entity, you represent that you have authority to bind that entity, and these Terms bind both you and that entity.

Automated and Artificial Access. These Terms apply equally to access by any automated, autonomous, or artificial means, including bots, spiders, scrapers, crawlers, scripts, downloaders, browser extensions, AI agents, autonomous software, and any comparable system now existing or hereafter devised. Any person or entity that deploys, directs, operates, or benefits from such a system in connection with this site agrees to these Terms and is fully responsible for that system’s conduct as if it were their own. Access by an automated system constitutes acceptance of these Terms by its operator.

Licensing content creates the additional rights and obligations described in Section 2. 

Browsing without licensing creates no rights in the content whatsoever. When you license from CSA Images, you are not buying an image outright; you are purchasing a non-exclusive, non-transferable, worldwide license to use the image under the guidelines below. You may not assign or transfer your license to any other party.

2. Image Licenses and Permitted Uses

When you license from CSA Images, you purchase a non-exclusive, worldwide license to use the image under the terms below. You do not acquire ownership of the image or its copyright.

• Premium License - grants use by one (1) user, in perpetuity, with up to 500,000 print copies, for:

• Advertising & Promotion: Brochures, direct mail, printed marketing materials, digital documents, annual reports, newsletters, invitations, and sales kits - up to 500,000 printed copies.

• Web, Digital & Social: Unlimited copies and views on websites, blogs, email marketing, social media, and apps.

• Editorial: Unlimited use inside magazines, newspapers, and book interiors and covers (requires © csaimages.com credit).

• Commercial Video: Television, online video, and film projects with total budgets up to $10,000.

• Personal Decor: A single printed copy of an image may be used as wall art for the licensee’s own personal, non-commercial home use.

• Product License - valid for one SKU (a single type of item for sale) by a single client, for premium retail goods, apparel, and limited-run packaging, subject to:

• Quantity: Up to 500 units manufactured.

• Premium Requirement: The product must retail at $20.00 USD or higher.

The Product License does not cover paper goods, stationery, stickers, high-volume packaging, products retailing below $20, framed/mounted/unframed prints, posters, or art and coffee-table books. These require a Custom License.

• Custom License - required for all uses not covered above, including but not limited to: 

unlimited print reproductions; logos, trademarks, or brand-identity use; framed, mounted, or unframed prints and posters for resale; art books, coffee-table books, or any publication where the image is a primary selling point; exclusive licenses or buy-outs; enterprise or multi-user access; API licensing; print-on-demand (POD) products; permanent signage and commercial decor; electronic templates; volume or wholesale quantities beyond Product License limits; and the commercial use or extraction of images from legacy physical media (such as CSA CD-ROM sets).

3. Prohibited Conduct - All Visitors and Automated Systems

The following apply to every visitor and every automated system, regardless of whether any license is purchased.

• AI / Machine Learning Prohibited Use: 

You may not use any content from this website (including images, previews, thumbnails, watermarked images, metadata, keywords, captions, categories, search results, page layouts, or the compilation, selection, coordination, or arrangement of any of the foregoing) to train, fine-tune, test, benchmark, validate, or develop any artificial intelligence or machine learning model, dataset, embeddings, or similar system, without a separate written license signed by CSA Images. This prohibition survives termination of these Terms and of any license.

• No Scraping or Automated Extraction: 

You may not access or use this website through automated means (bots, spiders, scrapers, crawlers, downloaders, or scripts) to extract, copy, index, harvest, or collect content or data from the site, except where explicitly authorized in writing by CSA Images. 

CSA Images’ robots.txt and machine-readable declarations constitute an express reservation of rights against text and data mining under all applicable laws.

• No Dataset Creation; No Competitive Use: 

You may not compile, aggregate, or create any dataset or database from content or data obtained from this website, and you may not use the website or its content to build or improve a competing library, tagging system, search product, generative service, or similar product.

• Metadata and Taxonomy: CSA Images’ metadata, keywords, tagging, classification, and organization reflect decades of proprietary human-authored effort. You may not copy, export, reproduce, or reuse this metadata or taxonomy, or any substantial portion of it, except as expressly licensed in writing.

• No Circumvention: You may not bypass, disable, defeat, or interfere with any access controls, rate limits, authentication measures, robots exclusions, watermarks, download controls, or other technical protections used by CSA Images.

• Enforcement; Injunctive Relief: Unauthorized scraping, dataset creation, or AI/ML use causes irreparable harm for which monetary damages are inadequate. CSA Images may seek immediate injunctive relief and all other remedies, and the operator of any automated system is jointly liable for that system’s violations.

4. Prohibited Uses - Licensees

The following are strictly prohibited unless a Custom License is explicitly granted. The prohibitions in Section 3 also apply to all licensees.

• Redistribution & Legacy Media: You may not sell, rent, sublicense, share, or transfer standalone image files. Images may not be included in electronic templates, screensavers, or made available for third-party extraction. You may not extract, upload, or redistribute standalone images from legacy CSA CD-ROMs or physical media.

• Merchandise & POD: The Premium License does not cover print-on-demand products, NFTs, or retail merchandise (requires Product or Custom License).

• Logos & Trademarks: Images may not be used in logos, trademarks, or service marks.

• Derivative Works & Style: Images may not be used as reference to create new illustrations, nor placed in mood boards or style guides, nor used to train any artist or system in the “CSA style.”

• Warehousing: Licenses are granted for use, not redistribution or warehousing. Bulk acquisition of images for storage in a shared or enterprise repository for unspecified future use by multiple users is prohibited and requires a Custom License.

• Unlawful & Sensitive Use: Images may not be used in pornographic, defamatory, libelous, or unlawful materials. You may not use images to imply personal endorsement by a model, or depict a model in sensitive scenarios (mental/physical health, criminal behavior, etc.) without a clear disclaimer that they are a model used for illustrative purposes.

5. Copyright, Ownership, and Attribution

All rights, title, and interest in the CSA Collections are owned by CSA Images and protected by U.S. and International Copyright Laws.

• Attribution: All licensed material used in an editorial context (books, magazines, news, online) must include, adjacent to the image: Illustration © csaimages.com. Omission may result in an additional fee of up to 100% of the original license fee.

• No Release Warranty: CSA Images does not warrant that images include model, property, trademark, or other releases. The licensee is solely responsible for obtaining any clearances necessary for their intended use, including where recognizable persons, trademarks, logos, artwork, or property appear in an image.

• Imperfections: Many images purposely replicate historic printing techniques (paper texture, off-registered colors, dot screens). These artifacts are inherent to the style and are not defects.

6. Unauthorized Use and Penalties

CSA Images actively monitors and enforces its copyrights.

• Right to Sue and Statutory Damages: CSA Images reserves the full right to pursue copyright infringement claims and seek all legal and equitable remedies, including statutory damages of up to $150,000 per infringed work under the U.S. Copyright Act (17 U.S.C. § 504), actual damages, profits attributable to the infringement, attorney’s fees, legal costs, and immediate injunctive relief.

• Audits: CSA Images reserves the right to audit your records to verify compliance. If an underpayment of five percent (5%) or more is found, you are responsible for paying the balance immediately and reimbursing CSA Images for the full cost of the audit.

7. DMCA & Intellectual Property Policy

If you believe your copyright has been infringed on our site, please notify our Copyright Agent at: CSA Images, 124 North First Street, Minneapolis, MN 55401, or csa@csaimages.com. Include a description of the infringed work, its location on the site, your contact information, a statement of good-faith belief that the use is unauthorized, and your physical or electronic signature under penalty of perjury. Upon a valid notice, CSA Images will review and remove the identified content as appropriate.

8. Disclaimers, Liability, and General Provisions

• Warranties: The site and images are provided “AS IS.” CSA explicitly disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose.

• Limitation of Liability: CSA’s entire liability to you is limited to the amount you paid for the image at issue. CSA is not liable for indirect, incidental, special, or consequential damages. Nothing in this section limits CSA Images’ right to pursue full statutory, actual, or other damages and remedies against any party for infringement or unauthorized use of the CSA Collections.

• Indemnification: You agree to indemnify, defend, and hold CSA Images harmless against all claims, liabilities, and damages arising from your breach of this agreement, your unauthorized modifications, or your failure to secure necessary third-party clearances.

• Binding Arbitration & Class Action Waiver: Any controversy or claim arising out of or relating to this Agreement, or its breach, shall be settled by binding arbitration administered under the Commercial Arbitration Rules of the American Arbitration Association, held in Minnesota. You waive any right to bring or participate in a class, collective, or representative action. (This provision governs disputes with licensees and does not limit CSA Images’ right to pursue infringement claims in any court of competent jurisdiction.)

• Governing Law: This Agreement is governed by the internal laws of the State of Minnesota (without reference to choice-of-law doctrine) and applicable federal law. Subject to the arbitration provision above, you consent to the exclusive jurisdiction of the state and federal courts located in Minnesota.

• Severability: If any provision of this Agreement is found unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

• Survival: Sections 3, 4, 5, 6, 8, and any provision that by its nature should survive, will survive termination of this Agreement.

• Termination: CSA Images reserves the right to terminate your account, modify this Agreement, or revoke an image license at any time. Upon revocation you must immediately cease use and delete all copies. Termination does not retroactively invalidate uses properly licensed and completed prior to termination.

These Terms were updated July 2026 and are subject to periodic revision.
