CSA Images End User License Agreement (EULA) & Terms of Use

Disclaimer: This document governs your use of the CSA Images website and the licensing of its content. Please read these terms carefully. If you do not agree to these terms, you are not authorized to access or use CSA Images.

 

1. Acceptance of Terms

By accessing, browsing, or licensing illustrations, photographs, and other images (collectively, "CSA Collections") from CSA Images, you agree to this legally binding agreement. The terms "CSA" or "CSA Images" refer to CSA Images, Inc., a Minnesota corporation, and its affiliates. When you purchase from CSA Images, you are not buying an image outright; you are purchasing a non-exclusive, non-transferable worldwide license to use the image under the specific guidelines outlined below.

 

2. Image Licenses and Permitted Uses

Your license is limited to one (1) person employed by the purchasing entity ("User") for a single design project and client. You may not use content for multiple clients or projects without purchasing separate licenses for each.

Standard License

• Print & Digital Campaigns: Up to 500,000 copies/views for advertising, promotion, communication, television commercials, book interiors, book covers, annual reports, brochures, newsletters, invitations, direct mail, sales kits, printed marketing materials, digital documents, and email marketing.
• Web & Social: Unlimited views for websites, blog posts, and social media.
• Editorial: Unlimited editorial use inside magazines and newspapers (requires © csaimages.com credit).
• Broadcast/Video: Use of images in TV, online video, and films is limited to projects with budgets up to $10,000.
• Home Decor: Single-use wall art to be printed for one-time use as decor in your home.

Enhanced / Unlimited License

• Unlimited Impressions: Unlimited copies/impressions for advertising, promotion, communication, television commercials, book/magazine interiors, annual reports, brochures, newsletters, invitations, direct mail, Internet banners, website graphics, sales kits, trade show displays, billboards, point of sale displays, printed marketing materials, digital documents, email marketing, mobile advertising, websites, blog posts, and social media.
• Publishing: Unlimited book and magazine covers.
• Broadcast/Video: Unrestricted use of images in TV, online video, and films regardless of budget.

Product License

Valid for one SKU (a single type of item for sale) for products and packaging with the following quantity restrictions:

• Paper Goods: Up to 10,000 packages, postcards, greeting cards or other cards, stationery, stickers, and paper products.
• Printed Merch: Up to 3,000 unframed or unmounted posters, calendars or other similar publications, mugs, or mousepads.
• Apparel & Entertainment: Up to 1,000 t-shirts, sweatshirts, or other apparel, games, toys, and entertainment goods.

Custom License

Required for all other uses, including but not limited to: exclusive licenses, buy-outs, volume discounts, electronic templates, print-on-demand (POD) products, permanent signs, commercial decor, framed or mounted prints, logos, trademarks, and the commercial use or extraction of images from legacy physical media (such as CSA CD-ROM sets).

3. Prohibited Uses

To protect our contributors and intellectual property, the following uses are strictly prohibited unless a Custom License is explicitly granted:

• Redistribution & Legacy Media: You may not sell, rent, sublicense, share, or transfer standalone image files. Images cannot be included in electronic templates, screensavers, or intended for third-party extraction. You may not extract, upload, or redistribute standalone images from legacy CSA CD-ROMs or physical media sets.
• Artificial Intelligence & Scraping: You are expressly prohibited from using any CSA Images content or metadata for training, fine-tuning, benchmarking, or developing AI/ML models, generative systems, or datasets. Automated access (bots, scrapers, crawlers) is strictly forbidden. This restriction applies retroactively and survives termination of this agreement.
• Merchandise & POD: Standard and Enhanced licenses do not cover "print-on-demand" products, NFTs, or retail merchandise (requires Product or Custom License).
• Logos & Trademarks: Images may not be used in logos, trademarks, or service marks.
• Derivative Works: Images may not be used as a reference to create new illustrations, nor placed in mood boards, style guides, or used to train an artist or system in the "CSA style."
• Unlawful & Sensitive Use: Images may not be used in pornographic, defamatory, libelous, or unlawful materials. You may not use images to imply personal endorsement by a model, or depict a model in sensitive scenarios (mental/physical health, criminal behavior, etc.) without a clear disclaimer stating they are a model used for illustrative purposes.
• Stockpiling: Images must be used within 1 year of download. Downloading for future, unspecified use is prohibited.

4. Copyright, Ownership, and Attribution

All rights, title, and interest in the CSA Collections are owned by CSA Images or its contributors and are protected by U.S. and International Copyright Laws.

• Attribution: All licensed material used in an editorial context (books, magazines, news, online) must include the following credit adjacent to the image: Illustration © csaimages.com. Omission of this credit may result in an additional fee of up to 100% of the original license fee.
• Imperfections: Many images purposely replicate historic printing techniques (paper texture, off-registered colors, dot screens). These artifacts are inherent to the style and are not considered defects.

5. Unauthorized Use and Penalties

CSA Images actively monitors and enforces its copyrights. Should you exceed your licensed restrictions, use images without authorization, or otherwise breach this agreement, you agree to the following conditions:

• Right to Sue and Statutory Damages: CSA Images reserves the full right to pursue copyright infringement claims and seek all legal and equitable remedies available. This includes, but is not limited to, seeking statutory damages of up to $150,000 per infringed work under the U.S. Copyright Act (17 U.S.C. § 504), as well as actual damages, any profits attributable to the infringement, attorney's fees, associated legal costs, and immediate injunctive relief to stop the unauthorized use.
• Audits: CSA Images reserves the right to audit your records to verify compliance. If an underpayment of five percent (5%) or more is found, you are responsible for paying the balance immediately, along with reimbursing CSA Images for the full costs of conducting the audit.

6. DMCA & Intellectual Property Policy

If you believe your copyright rights have been infringed on our site, please notify our Copyright Agent at: CSA Images, 124 North First Street, Minneapolis, MN 55401 or csa@csaimages.com. Include a description of the infringed rights, location on the site, your contact info, a statement of good faith belief of unauthorized use, and your physical/electronic signature under penalty of perjury.

7. Disclaimers, Liability, and General Provisions

• Warranties: The site and images are provided "AS IS." CSA explicitly disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose.
• Limitation of Liability: CSA's entire liability to you is limited to the amount you paid for the product/image at issue. CSA is not liable for indirect, incidental, special, or consequential damages.
• Indemnification: You agree to indemnify, defend, and hold CSA Images harmless against all claims, liabilities, and damages arising from your breach of this agreement, unauthorized modifications, or failure to secure necessary third-party clearances.
• Governing Law: This Agreement is governed by the internal laws of the State of Minnesota (without reference to choice of law doctrine) and applicable federal laws. You consent to the exclusive jurisdiction of the state and federal courts located in Minnesota.
• Termination: CSA Images reserves the right to terminate your account, modify this agreement, or revoke an image license at any time. Upon revocation, you must immediately cease using the image and delete all copies.
